Daniele Giombini

Attorney Daniele Giombini mainly deals with consultancy, both judicial and extrajudicial, in commercial, corporate, banking and financial law matters, for national and international companies operating in multiple sectors, as well as banks and financial intermediaries.

Attorney Giombini's professional experience includes:

• Planning activities of corporate forms and governance structures, drafting of bylaws and parasocial agreements, incorporation of companies, capital transactions, drafting of minutes of corporate bodies of joint-stock companies and financial intermediaries;
• Assistance in commercial and corporate disputes, including those concerning commercial contracts, liability actions against directors and auditors of joint-stock companies, challenges to assembly and board resolutions, disputes between shareholders, enforcement proceedings and debt collection;
• Advice on negotiation and drafting of commercial contracts and M&A transactions, including in the latter area legal due diligence, drafting and writing of letters of intent, share acquisition and business sale agreements, including those accompanied by mergers or demergers or by the review of the governance structure;
• Assistance, both at judicial and extrajudicial level, to Banks and financial intermediaries in order to comply with the rules of conduct in the provision of financial intermediation services governed by Legislative Decree 24 February 1998, n. 58 (Consolidated Finance Act) and by the regulatory provisions of the sector;

Attorney Giombini also deals with issues related to sustainable finance, sustainable corporate governance and the development of sustainable value chains as well as providing support to clients in the process that leads to the adoption of the benefit company form.

He graduated in 1999 from the Università degli Studi di Perugia.

He has been admitted to the bar since 2005.

During his professional career, Attorney Giombini obtained, among other things, the “ Master's degree in corporate law ” held by Ipsoa Scuola di Formazione in Milan, the “ Master's degree in corporate contracts ” held by 24 Ore Business School in Milan and the “ Master's degree in accounting and balance sheet ” held by 24 Ore Business School in Milan.

He is a member of the “ International Bar Association ” and an active member of the “ Closely Held Companies Committee ”.

In addition to Italian, he speaks English, including legal English.
